1.RRE is not to be held responsible for any manufacturer’s delayed shipping items.

Submittal Process
5.By approving the project submittals (light fixtures / light controls/ Panels / Switchgear etc), the General Contractor is agreeing that the approved types of equipment meet the design intent as per the plan & spec.
Change Order Process
6.This change order does not change the terms and conditions of the underlying contract except as otherwise outlined in the change order. Upon receipt of this proposal, please provide written acceptance of this Request.
7.Please advise RRE Inc Electrical Contractor should you have any questions or require clarification for the Change Order Request.
8.By approving this change order RRE Inc Electrical Contractors will not be held responsible if this change order does not meet the electrical design intent. Lead times may be subject to change at any point as dictated by the manufacturer. General Contractors / Owner / Tenant / Customer / Client agrees to hold RREInc Electrical Contractors harmless from all losses incurred due to product delays. Including but not limited to reasonable attorneys’ fees and other litigation costs and expenses General Contractors / Owner / Tenant / Customer / Client agrees to waive all claims against RREInc Electrical Contractors for any injuries, damages, losses, or claims, whether known or unknown which may arise during or resulting from participation in this agreement. Hereunto this proposed change order will take 72 Hours to commence. Please sign and return to our office as soon as possible. Hidden Conditions

10.Underground Clause
All underground works shall be performed under the following circumstances:
Good weather conditions are defined as no precipitation or extreme weather events that could hinder the progress of the work.
Absence of rainfall during the scheduled work period.
The site must be leveled and staked out per the approved plans and specifications.
The absence of mud or other adverse site conditions may impede the underground work.
The pricing for this contract is based on the assumption of good/dry weather conditions. If RREInc Electrical Contractors are requested to perform the underground work under bad or unworkable weather conditions, there will be a cost impact. RREInc provides a detailed breakdown of the additional costs incurred due to such conditions, including but not limited to labor, equipment, and material expenses, which shall be subject to approval by the client or project manager before implementation.
Standard Exclusion for Underground Works: Unforeseen Site Conditions: Exclusions related to unforeseen site conditions, such as encountering rock formations, unanticipated groundwater, or contaminated soil, may require additional work and cost. Utilities and Services: Exclusions for the relocation, protection, or adjustment of existing utilities and services (e.g., water lines, gas lines, electrical conduits) unless explicitly stated otherwise in the scope of work. Permitting and Approvals: Exclusions for obtaining necessary permits, licenses, or approvals required for the underground works, including any associated fees or expenses. Design and Engineering: Exclusion for the design and engineering of underground structures or systems, unless explicitly included in the scope of work. Specialized Testing and Inspections: Exclusions for specialized testing and inspections beyond standard requirements, such as soil testing, geotechnical surveys, or third-party quality assurance/quality control services. Environmental Compliance: Exclusions related to compliance with environmental regulations and remediation of any environmental contamination encountered during underground works. Access and Site Preparation: Exclusions for access roads, temporary site facilities, and site preparation work not directly related to underground construction activities. Traffic Control and Safety Measures: Exclusions for traffic control measures, safety barriers, signage, and other measures required to ensure public safety during construction, unless explicitly included in the scope of work. Cleanup and Restoration: Exclusions for site cleanup, restoration of disturbed areas, and landscaping works following completion of the underground construction, unless explicitly included in the scope of work. Force Majeure Events: Exclusions for delays or damages caused by force majeure events such as natural disasters, acts of terrorism, or civil unrest, which are beyond the control of the contractor.

SUPPLY CHAIN, SUBMITTALS, AND LEAD TIME DISCLAIMER
Manufacturer and Supplier Delays
RRE Inc. Electrical Contractors shall not be held liable for any delays in the delivery of electrical gear, equipment, or materials caused by manufacturers, suppliers, shipping carriers, or other third parties beyond our control. This includes, but is not limited to, production backlogs, material shortages, shipping or freight disruptions, or other supply chain issues. In such cases, all project schedules, milestones, and completion deadlines shall be extended on a day-for-day basis equal to the length of the delay. No liquidated damages, penalties, or back charges shall be applied to RRE Inc. Electrical Contractors as a result of such delays. Furthermore, RRE Inc. reserves the right to submit for approval equivalent or substitute materials or to resequence work in a commercially reasonable manner to minimize the impact of such delays.
Submittal Approval and Design Intent
By approving this submittal, the Owner, Engineer, and/or General Contractor acknowledge that RRE Inc. Electrical Contractors is not responsible for verifying whether the submitted equipment or materials fully align with the electrical design intent. If the approved submittals do not conform to the original design concept or performance criteria, RRE Inc. shall be held harmless from any resulting issues, defects, or performance deficiencies in the electrical system.
Estimated Lead Time (Estimated Ship Date – ESD Disclaimer)
All lead times provided are Estimated Ship Dates (ESDs) and are based on information available at the time of issuance. These dates are subject to change without notice due to factors beyond the control of RRE Inc. Electrical Contractors, including but not limited to supplier or manufacturer production schedules, raw material availability, and shipping logistics. RRE Inc. makes no guarantees regarding actual ship or delivery dates and shall not be held liable for any impacts resulting from changes to the ESD.

ACCEPTANCE & PAYMENT TERMS
Payments shall be made each thirty days as the work progresses. The entire amount of the contract shall be paid within thirty days after completion.
Service and Finance Charges are applicable on past accounts at the rate of 1 ½ percent per month on amounts thirty (30) days past due, which is equal to an annual percentage rate of 18 percent. Such charges are shown as “service charges”. There is no service charge if accounts are paid within thirty days of the end of the month in which purchases are made.
Any alteration or deviation from the above specifications involving the extra cost of material and/or labor will only be executed upon written orders for the same and will become an extra charge over the sum mentioned in this contract. All agreements must be made in writing.
The contractor agrees to carry Workman’s Compensation and Public Liability Insurance and also to pay all Sales Taxes, Old Age Benefits, and Unemployment Compensation Taxes upon the material and labor furnished under this contract, as required by the United States Government and the State in which this work is performed.
